Terms of Service

These Terms of Service (this "Agreement") is entered into by and between Align AI, Inc. ("Align AI") and User. Align AI and User are each a "Party" and, collectively, the "Parties."

1. Access

Subject to User's compliance with this Agreement, User may access and use the web-based interfaces (the "Platform") and application programming interfaces ("APIs") that Align AI makes available, solely for the purpose of utilizing Align AI's data infrastructure, post-training, and evaluation services (collectively, the "Services") during the Term. User may not share its access credentials with any third party.

2. Term and Termination

This Agreement commences upon acceptance and continues until terminated. Either Party may terminate upon thirty (30) days' written notice. Align AI may suspend access immediately if User breaches any provision.

3. Feedback

If User provides feedback regarding the Services, User grants Align AI an unrestricted, perpetual, irrevocable, non-exclusive, royalty-free right to exploit the Feedback for any purpose, including to improve the Services.

4. Intellectual Property

As between User and Align AI, User retains all rights in and to the Input; Align AI retains all rights in and to the Services. Align AI will not train or fine tune any AI or machine learning models on Input without User's explicit written consent and will not disclose Input or Output to third parties other than Align AI's service providers.

5. User's Rights

User represents and warrants that it has sufficient rights to grant the rights and licenses set forth herein and has obtained all consents necessary for Align AI to process Inputs without violating applicable laws or third-party rights.

6. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS." ALIGN AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

IN NO EVENT SHALL ALIGN AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR USE OF THE SERVICES.

8. General

This Agreement is governed by the laws of the State of New York. Any disputes shall be resolved in the courts of New York County, New York.
